Parties & Effective Date
These Advisory Subscription Terms (the 'Terms') govern the recurring Chisu Advisory subscription you purchase at Stripe checkout. They are entered into between Chisu Technologies, a company organized under the laws of British Columbia, Canada ('Chisu', 'we', 'us'), and the individual or legal entity identified at checkout ('Subscriber', 'you').
The Terms become effective on the date you complete checkout for an Advisory plan and remain effective for as long as your subscription is active.

Subscription Plans
Chisu Advisory is offered in three tiers: Essentials (CA$450 / month), Growth (CA$950 / month), and Embedded (CA$2,400 / month). The features included in each tier are described at the time of checkout and form part of these Terms.
Chisu may add or modify features of each tier from time to time, provided that material reductions to the value of the tier will be communicated thirty (30) days in advance and entitle Subscriber to cancel without further obligation.

Billing & Auto-Renewal
Subscriptions are billed monthly in advance through Stripe. The billing cycle begins on the Effective Date and renews automatically each month until cancelled.
Applicable taxes (GST and, where applicable, BC PST) are computed and collected by Stripe at the time of each billing.
Failed payments will be retried by Stripe according to its standard schedule. After three failed retries, the subscription is suspended; access is restored upon successful payment or cancelled if not resolved within fourteen (14) days.

Cancellation
Subscriber may cancel at any time through the Stripe customer portal (linked from chisu.io/billing) or by emailing [email protected].
Cancellation takes effect at the end of the then-current billing period. No partial refunds are issued for unused portions of a billing period, except where required by law.
Chisu may terminate the subscription with thirty (30) days' written notice or immediately for material breach (including non-payment or misuse of access).

Use of Direct Engineer Contact
Growth and Embedded tiers include direct contact with a Chisu senior engineer (mobile and Slack). Subscriber agrees to use such contact reasonably and in good faith for legitimate technical questions related to Subscriber's engagement.
Direct contact does not constitute on-call coverage and is not subject to a guaranteed response time outside the SLA stated in the tier description.

Chisu Templates License
All tiers include access to the Chisu Templates: SOC2-lite Readiness Checklist, Incident Response Runbook, and Lightweight STRIDE Threat Model. These templates are delivered as PDF and Notion / Markdown files.
Subscriber receives a perpetual, non-exclusive, non-transferable, royalty-free license to use, modify, and adapt the Chisu Templates for Subscriber's internal business operations. Redistribution, resale, or sublicensing of the templates as standalone products is prohibited.

Confidentiality
Each party agrees to keep confidential and not disclose to any third party any non-public information disclosed by the other party in connection with the subscription. This obligation survives termination for five (5) years.
Exclusions and standard carve-outs (public domain, prior knowledge, independent development, legally compelled disclosure) apply.

Intellectual Property
Subscriber retains all right, title, and interest in Subscriber's data, code, and pre-existing materials.
Chisu retains all right, title, and interest in its tools, methodologies, scanning systems, the Chisu Templates (subject to the license granted above), and any work product not specifically commissioned by Subscriber under a separate SOW.
Any custom deliverables created at Subscriber's request and paid for under a separate SOW are assigned to Subscriber upon full payment, in line with Chisu's Master Services Agreement.

Warranties & Disclaimers
Chisu will provide advisory services in a professional and workmanlike manner. EXCEPT AS EXPRESSLY SET OUT, ADVISORY SERVICES AND TEMPLATES ARE PROVIDED 'AS IS', AND CHISU DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.
No advisory engagement, recommendation, or template guarantees the absence of vulnerabilities or attacks. Subscriber remains responsible for the security of its systems.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS.
EACH PARTY'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY SUBSCRIBER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
The parties will first attempt to resolve disputes through good-faith negotiation. If unresolved within thirty (30) days, the dispute will be submitted to the exclusive jurisdiction of the courts of Vancouver, British Columbia.

Changes to These Terms
Chisu may revise these Terms from time to time. Material changes will be communicated by email at least thirty (30) days before they take effect. Continued use of the subscription after the effective date constitutes acceptance.

Acceptance
Completion of Stripe checkout for an Advisory plan, together with Stripe's record of payment and the timestamp and IP address logged by Chisu, constitutes Subscriber's binding electronic signature to these Terms.
