Acceptance of Terms
By accessing or using any services provided by Chisu Technologies ('Company', 'we', 'us'), you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.
These terms apply to all visitors, users, and clients who access or use our website, Chisu-operated products, and engineering services.

Services
Chisu Technologies provides software engineering, AI development, platform development, infrastructure automation, security and compliance engineering, and related technology consulting services.
Paid engagements may include fixed-scope projects, dedicated teams, staff augmentation, or recurring advisory services. Specific scope, deliverables, fees, and responsibilities are governed by the applicable service agreement.
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

Client Obligations
You agree to provide accurate, complete, and timely information required for the delivery of services.
You are responsible for maintaining the confidentiality of any account credentials or access tokens provided to you.
You agree not to use our services for any unlawful purpose or in violation of any applicable regulations.

Intellectual Property
Unless otherwise specified in a service agreement, all intellectual property created during a paid engagement is assigned to the client upon full payment.
Chisu Technologies retains ownership of pre-existing tools, frameworks, libraries, scanners, scoring methodologies, and Chisu Templates (SOC2-lite checklist, incident runbook, lightweight STRIDE threat model) used in the delivery of services. The client receives a non-exclusive, perpetual license to use these components within the delivered project.
The Chisu Technologies name, logo, and brand assets remain the exclusive property of the Company and may not be used without written permission.

Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during an engagement. This obligation survives the termination of any service agreement.
Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from a third party.

Limitation of Liability
To the maximum extent permitted by law, Chisu Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
Our total liability for any claim related to a paid engagement shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

Termination
Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement.
We reserve the right to suspend or terminate access to our platforms if these terms are violated.
Upon termination, all obligations regarding confidentiality, intellectual property, and payment for completed work shall survive.

Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of British Columbia for any dispute arising out of or relating to these Terms.

Changes to Terms
We may revise these terms at any time. Material changes will be communicated through our website. Continued use of our services constitutes acceptance of the revised terms.
